  1. INTRODUCTION

    These Terms of Use (“Terms”) govern your access to and use of all services, tools, platforms, APIs, websites, dashboards, documentation, and applications (collectively, the “Platform”) made available by Turing Tower Inc., a cybersecurity company registered in the State of Delaware, United States, and operating globally.

    These Terms form a legally binding agreement between Turing Tower Inc. (“Turing Tower”, “we”, “our”, or “us”) and you (“User”, “Client”, or “you”) whether acting individually or on behalf of a company, organization, or other legal entity.

    By accessing or using the Platform in any manner, you accept and agree to be bound by these Terms. If you do not agree to these Terms or any future modifications, you must not use or access the Platform.

    These Terms incorporate by reference our Privacy Policy and any additional documentation, policies, or guidelines issued by Turing Tower and made available through the Platform.

  2. ACCEPTANCE AND ELIGIBILITY

    2.1. Acceptance of terms

    By accessing, registering for, or using any part of the Turing Tower Platform, you expressly agree to be bound by these Terms, including all referenced policies and documentation. You also agree that your continued use of the Platform after any changes to these Terms constitutes acceptance of the updated terms.

    If you do not accept these Terms in full, you are not permitted to use the Platform.

    If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms.

    2.1. Acceptance of terms

    You may only access or use the Platform if:

    • You are at least 18 years of age;

    • You have the legal capacity to enter into a binding agreement;

    • You are not subject to any legal restrictions or sanctions prohibiting you from using or accessing cybersecurity tools;

    • All registration and identity information you provide is truthful, accurate, and up-to-date;

    • Your access to and use of the Platform is compliant with all applicable laws and regulations.

    Turing Tower may, at its sole discretion, refuse to offer access to the Platform to any user or entity and may change its eligibility criteria at any time in accordance with applicable law.

  3. DEFINITIONS

    For the purposes of these Terms of Use, the following terms shall have the meanings ascribed below:

    • “Turing Tower”, “we”, “us”, or “our” means Turing Tower Inc., a Delaware-registered cybersecurity company, and its authorized affiliates, employees, contractors, and representatives.

    • “User”, “Client”, or “you” means any individual, entity, or organization that accesses or uses the Platform, including employees, representatives, or agents acting on their behalf.

    • “Platform” means the suite of cybersecurity tools and technologies made available by Turing Tower, including but not limited to:

      • Turing Scanner,

      • Crudguard,

      • Core Risk Engine,

      • APIs, admin dashboards, integrations, portals, and all related websites, mobile or desktop applications.

    • “Services” refers to the features, functionalities, tools, and support provided through the Platform, including scanning, threat detection, system logging, anomaly alerting, database monitoring, reporting, and analytics.

    • “Account” means a registered profile or access credential provided to the User to interact with the Platform under a paid subscription or free trial, including any associated access permissions or API keys.

    • “Data” means any information, log, alert, scan result, configuration, credential, metadata, or audit trail generated, processed, or provided by you through the Platform.

    • “Authorized Use” refers to the use of the Platform strictly for cybersecurity analysis, vulnerability detection, and monitoring on systems, networks, or databases that you own, control, or are explicitly permitted to manage.

    • “Third-Party Tools” means any third-party service, API, plugin, or system (e.g., cloud storage, SIEM platforms) that is integrated with the Platform either directly or via authorized configuration.

    • “Confidential Information” includes non-public technical, commercial, or operational information disclosed by one party to the other, whether orally or in writing, that is marked or reasonably understood to be confidential.

  4. SCOPE OF USE AND AUTHORIZED ACCESS

    4.1. Permitted Use

    You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform strictly in accordance with these Terms and any applicable license or subscription agreement. You agree to use the Platform solely for:

    • Cybersecurity scanning, threat detection, and log analysis on systems, infrastructure, or databases you own, control, or are expressly authorized to monitor;

    • Internal risk assessment, incident response, or compliance monitoring within your organization;

    • Integrating authorized third-party systems (e.g., SIEM or SOC tools) for centralized cybersecurity visibility.

    4.2. Prohibited Use

    You agree not to, and shall not permit any third party to:

    • Access or use the Platform for any unlawful purpose or in violation of any applicable laws or regulations;

    • Scan or probe systems or infrastructure that you do not own or have documented authorization to assess;

    • Use the Platform to launch, simulate, or assist in any attack, including denial-of-service, brute-force, or data exfiltration activities;

    • Train or develop competing machine learning models or cybersecurity products based on Platform outputs or architecture;

    • Reverse engineer, decompile, disassemble, copy, or modify the Platform or attempt to extract its source code;

    • Bypass, disable, or interfere with any security features, rate limits, access controls, or license restrictions embedded in the Platform;

    • Resell, sublicense, lease, or otherwise distribute the Platform or its outputs without our prior written consent;

    • Use automation or bots to excessively query, scrape, or overload the Platform’s services or API endpoints.

    4.3. Usage Monitoring and Enforcement

    Turing Tower may monitor usage activity for compliance, performance, and security reasons. If we reasonably suspect that your usage violates these Terms, endangers other users, or introduces a security risk, we reserve the right to:

    • Suspend or restrict your access without notice;

    • Request additional verification or documentation of your authorized scope;

    • Terminate your account and report violations to relevant authorities, if required.


  5. ACCOUNT REGISTRATION AND ACCESS CONTROL

    5.1. Account Creation

    To access and use the Platform, you may be required to create an account by providing accurate, complete, and up-to-date registration information. By registering, you represent and warrant that:

    • The information you provide is truthful and current;

    • You are authorized to register on behalf of your organization (if applicable);

    • You will maintain the accuracy of your account details at all times.

    Each account is limited to the individual or entity identified during registration. Account sharing is strictly prohibited unless expressly authorized under an enterprise subscription or service agreement.

    5.2. Access Management

    You are responsible for managing access to the Platform within your organization. This includes:

    • Assigning and updating user roles and permissions;

    • Implementing technical and organizational safeguards, such as:

      • Role-Based Access Control (RBAC);

      • Multi-Factor Authentication (MFA);

      • IP whitelisting and endpoint control;

    • Ensuring that all access credentials, API keys, and tokens issued to your users are kept secure and used only for their intended purposes.

    5.3. Credential Security and Misuse

    You are solely responsible for:

    • Maintaining the confidentiality of login credentials and system keys;

    • Preventing unauthorized access to your account or systems;

    • All actions taken through your account, whether authorized by you or not.

    Turing Tower is not liable for any loss or damage arising from your failure to secure your access credentials or monitor internal access.

    If you suspect any unauthorized access or a security breach involving your account, you must notify us immediately at kaizen@technologyandx.com. We may suspend or restrict access to mitigate risk.


    5.4. Credential-Aware Features

    If you enable credential-aware scanning or provide access credentials for integrations, you:

    • Represent and warrant that such credentials have been legally obtained and authorized;

    • Acknowledge that you retain full responsibility for any results, logs, or actions triggered using such credentials;

    • Accept that improper configuration or exposure of those credentials may impact your system security, for which Turing Tower shall bear no responsibility.

  6. DISCLAIMERS AND LIMITATION OF LIABILITY

    6.1. Platform Performance and Accuracy

    The Turing Tower Platform is provided on an “as is” and “as available” basis. While we make reasonable efforts to ensure the accuracy and reliability of our tools and outputs, you acknowledge and agree that:

    • Scan results may contain false positives or false negatives;

    • Threat detection and anomaly scoring rely on data quality, configuration parameters, and system conditions beyond our control;

    • Alerting thresholds and rule-based decisions are influenced by your settings, credentials, and infrastructure.

    You are solely responsible for reviewing results, verifying findings, and taking appropriate remediation steps. We do not guarantee that use of the Platform will detect all threats or prevent all breaches.

    6.2. Integration with Third-Party Systems

    Where you integrate the Platform with third-party services (e.g., SIEM, cloud environments, or identity providers), you do so at your own discretion and risk. Turing Tower is not responsible for:

    • The availability, performance, or security of third-party systems;

    • Any issues arising from misconfigurations, permission scopes, or data shared through such integrations.

    6.3. No Warranties

    To the fullest extent permitted by law, Turing Tower disclaims all warranties, express or implied, including:

    • Warranties of merchantability, fitness for a particular purpose, and non-infringement;

    • Any warranty that the Platform will be uninterrupted, error-free, or immune to external attacks or breaches.


    6.4. Limitation of Liability

    To the maximum extent permitted under applicable law, Turing Tower shall not be liable to you for:

    • Any indirect, incidental, special, exemplary, or consequential damages;

    • Loss of profits, revenue, data, or goodwill;

    • Business interruption or system downtime;

    • Security breaches, vulnerabilities, or misconfigurations not caused directly by our gross negligence.

    In no event shall Turing Tower’s aggregate liability for any claims under these Terms exceed the total fees paid by you for access to the Platform in the three (3) months preceding the event giving rise to the claim.

    6.5. Force Majeure

    We shall not be responsible for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to cyberattacks, infrastructure failure, acts of government, natural disasters, internet outages, or regulatory changes.

  7. SUPPORT, AVAILABILITY, AND SERVICE LEVELS 

    7.1. Support Availability

    Turing Tower provides support services to Users during standard business hours excluding public holidays.

    Support is available through the following channels:

    We will use commercially reasonable efforts to respond to support inquiries within one (1) business day, depending on the severity and complexity of the issue.

    7.2. Platform Availability

    We strive to maintain high availability of the Platform and underlying infrastructure. However, you acknowledge and agree that:

    • The Platform may be unavailable from time to time due to scheduled maintenance, upgrades, or unforeseen disruptions;

    • Emergency outages may occur without prior notice where required to preserve the security or integrity of the system;

    • We do not guarantee continuous, uninterrupted access to the Platform.

    Turing Tower will provide advance notice of planned maintenance via email or in-app notifications whenever feasible.

    7.3. Incident Response

    In the event of a system incident, service degradation, or performance issue, we will:

    • Investigate and respond promptly based on impact severity;

    • Provide status updates via designated communication channels;

    • Collaborate with you on any required rollback or mitigation measures where applicable.

    Turing Tower is not liable for any damages resulting from outages, response times, or third-party disruptions, except where caused by our willful misconduct or gross negligence.


    7.4. Service Level Agreements (SLAs)

    Unless otherwise stated in a separate Enterprise Service Agreement, Turing Tower does not offer binding uptime guarantees or financial service credits. For clients with custom SLA requirements, specific terms must be negotiated and agreed in writing.

  8.  INTELLECTUAL PROPERTY RIGHTS

    8.1. Ownership of the Platform

    All rights, title, and interest in and to the Platform, including but not limited to the underlying software, source code, scanning engines, algorithms, log detection frameworks, user interface designs, visual elements, technical documentation, trademarks, and brand assets are and shall remain the exclusive property of Turing Tower Inc. and its licensors.

    Nothing in these Terms shall be construed as transferring any ownership rights in the Platform or any associated intellectual property to you or any third party.

    8.2. Limited License

    Subject to your compliance with these Terms, Turing Tower grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for your internal cybersecurity and risk management purposes.

    You may not:

    • Modify, adapt, translate, or create derivative works of the Platform;

    • Reproduce, distribute, or publicly display any part of the Platform without prior written consent;

    • Use Turing Tower’s name, logo, or branding in any way that suggests endorsement or affiliation without authorization.

    8.3. User Feedback

    You may voluntarily provide feedback, suggestions, or improvement ideas regarding the Platform (“Feedback”). You agree that:

    • Such Feedback is provided without restriction;

    • Turing Tower shall have a royalty-free, perpetual, irrevocable license to use, modify, and incorporate Feedback into its products and services without obligation to you.


    8.4. Data Ownership

    As between you and Turing Tower, you retain all rights to the data you upload, scan, or monitor using the Platform (“Customer Data”).

    Turing Tower does not claim ownership over your infrastructure logs, configurations, or system metadata. However, you grant us a limited license to process, analyze, store, and use such data:

    • For the purpose of providing and improving our Services;

    • In accordance with our Privacy Policy;

    • Subject to applicable data protection laws and any contractual confidentiality obligations.

    We may also use aggregated or anonymized data for product analytics, benchmarking, and threat intelligence, provided such data cannot be used to identify you or your organization.

  9. DATA PROTECTION AND PRIVACY

    9.1. Compliance with Data Protection Laws

    Turing Tower processes Personal Data in accordance with applicable data protection laws, including but not limited to:

    • The Nigeria Data Protection Regulation (NDPR),

    • The European Union General Data Protection Regulation (GDPR),

    • The California Consumer Privacy Act (CCPA), where applicable,

    • And any other applicable data privacy frameworks depending on user geography.

    9.2. Role of Turing Tower

    Depending on the nature of the engagement, Turing Tower may act as:

    • A Data Controller where it determines the purpose and means of processing (e.g., user account information, usage metrics); or

    • A Data Processor where it processes data on behalf of enterprise clients (e.g., infrastructure logs, scan results, user activity metadata).

    9.3. Data Collected

    We collect and process only the data necessary to:

    • Operate and improve the Platform;

    • Deliver core services such as scanning, detection, alerting, and reporting;

    • Fulfill our contractual obligations and comply with legal requirements.

    For more information, refer to our Privacy Policy, which is incorporated by reference into these Terms.


    9.4. Security Measures

    We implement industry-standard technical and organizational measures to safeguard data, including:

    • AES-256 encryption for data at rest;

    • TLS 1.2+ for data in transit;

    • Role-Based Access Control (RBAC), IP whitelisting, and Multi-Factor Authentication (MFA);

    • Full audit logging and internal security protocols.

    Despite these efforts, no method of transmission or storage is 100% secure, and we cannot guarantee absolute protection.

    9.5. Data Deletion and Retention

    You may request the deletion or export of your data at any time by written notice. We will retain your data only for as long as:

    • Necessary to fulfill the purposes of collection;

    • Required by applicable law, contract, or regulatory guidance.

    9.6. Breach Notification

    In the event of a Personal Data breach, we will notify affected users and/or regulators as required under applicable law. We maintain a Data Breach Response Plan and audit trail protocols to support investigation and remediation efforts.


  10. TERMINATION AND SUSPENSION OF ACCESS

    10.1. Termination by User

    You may terminate your use of the Platform at any time by:

    • Ceasing all use of the Platform; and

    • Sending a written termination notice to kaizen@technologyandx.com. 

    Unless otherwise agreed in writing, no refunds shall be issued for any prepaid or unused subscription terms.

    10.2. Termination or Suspension by Turing Tower

    We may suspend or terminate your access to the Platform immediately, without prior notice, if:

    • You breach any provision of these Terms;

    • You engage in unlawful, fraudulent, abusive, or unauthorized use of the Platform;

    • Your use poses a security risk or operational disruption;

    • We are required to do so by law, regulation, or competent authority;

    • There is non-payment of applicable subscription or service fees.

    10.3. Effects of Termination

    Upon termination:

    • Your access rights to the Platform will be revoked;

    • All outstanding fees become immediately due and payable;

    • We may permanently delete your account and related data from our systems, unless legally required to retain it or upon your express written request for export within 30 days.

    Turing Tower is not obligated to retain any information or content related to your use of the Platform after termination, unless required by applicable law or explicitly agreed.


    10.4. Survival of Terms

    The following provisions will survive termination or expiration of these Terms:

    • Clauses related to intellectual property, confidentiality, limitation of liability, indemnity, data rights, and dispute resolution.


  11. INDEMNITY AND LIMITATION OF LIABILITY

    11.1. Indemnification

    You agree to indemnify, defend, and hold harmless Turing Tower, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

    • Your use or misuse of the Platform;

    • Your breach of these Terms or any applicable law or regulation;

    • Your violation of any third-party rights, including intellectual property or data protection rights;

    • Any unauthorized access, scanning, or activity conducted through your account or systems;

    • Any data or content you submit to or through the Platform.

    Turing Tower reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with our defense.

    11.2. Limitation of Liability

    To the fullest extent permitted by law, in no event shall Turing Tower, its affiliates, or licensors be liable for any:

    • Indirect, incidental, special, punitive, or consequential damages;

    • Loss of profits, revenue, business opportunities, data, or goodwill;

    • System downtime, business interruption, or reputational harm;

    • Security breach or vulnerability caused by your misconfiguration, third-party integration, or failure to act on findings.

    This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory (contract, tort, strict liability, etc.) on which the claim is based.

    11.3. Cap on Liability

    Except for liability arising from willful misconduct or fraud, Turing Tower’s total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total amount of fees paid by you to Turing Tower in the three (3) months preceding the event giving rise to the claim.


  1. AMENDMENTS AND UPDATES TO TERMS

    12.1. Right to Modify

    Turing Tower reserves the right to modify, update, or revise these Terms at any time to reflect changes in:

    • Legal or regulatory obligations;

    • Platform functionality or services;

    • Security practices or risk posture;

    • Business or operational requirements.

    12.2. Notification of Changes

    When material changes are made, we will:

    • Update the “Last Updated” date at the top of these Terms;

    • Provide notice via email or in-app notification (where applicable);

    • Optionally publish a summary of the key changes.

    You are responsible for reviewing the most current version of the Terms, which will always be available on our website.

    12.3. Continued Use as Acceptance

    Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Platform and, if applicable, close your account.


  2. DISCLAIMERS AND LIMITATION OF LIABILITY

    13.1. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of:

    • The State of Delaware, United States, for users contracting with Turing Tower Inc. in the U.S.; and

    • The Federal Republic of Nigeria, for users engaging with our operations or services within Nigeria.

    Where applicable, mandatory consumer protection or data protection laws in your jurisdiction may apply.

    13.2. Dispute Resolution

    We encourage all parties to resolve disputes amicably. If a dispute cannot be resolved through mutual negotiation within thirty (30) days, the parties agree as follows:

    • For Nigerian-based users: The dispute shall be referred to arbitration at the Lagos Multi-Door Courthouse (LMDC), in accordance with the Arbitration and Conciliation Act, Cap A10, Laws of the Federation of Nigeria. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement (or by LMDC if parties cannot agree). The decision shall be final and binding.

    • For all other users: Disputes shall be subject to binding arbitration in the State of Delaware under the rules of the American Arbitration Association (AAA), with one arbitrator appointed in accordance with the AAA Rules.

    Each party shall bear its own legal costs, except where otherwise awarded by the arbitrator.

    13.3. Assignment

    You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Turing Tower may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

    13.4. Severability

    If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remainder shall continue in full force and effect.

    13.5. No Waiver

    If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remainder shall continue in full force and effect.

    • Bypass, disable, or interfere with any security features, rate limits, access controls, or license restrictions embedded in the Platform;

    • Resell, sublicense, lease, or otherwise distribute the Platform or its outputs without our prior written consent;

    • Use automation or bots to excessively query, scrape, or overload the Platform’s services or API endpoints.

    4.3. Usage Monitoring and Enforcement

    Turing Tower may monitor usage activity for compliance, performance, and security reasons. If we reasonably suspect that your usage violates these Terms, endangers other users, or introduces a security risk, we reserve the right to:

    • Suspend or restrict your access without notice;

    • Request additional verification or documentation of your authorized scope;

    • Terminate your account and report violations to relevant authorities, if required.


  5. ACCOUNT REGISTRATION AND ACCESS CONTROL

    5.1. Account Creation

    To access and use the Platform, you may be required to create an account by providing accurate, complete, and up-to-date registration information. By registering, you represent and warrant that:

    • The information you provide is truthful and current;

    • You are authorized to register on behalf of your organization (if applicable);

    • You will maintain the accuracy of your account details at all times.

    Each account is limited to the individual or entity identified during registration. Account sharing is strictly prohibited unless expressly authorized under an enterprise subscription or service agreement.

    5.2. Access Management

    You are responsible for managing access to the Platform within your organization. This includes:

    • Assigning and updating user roles and permissions;

    • Implementing technical and organizational safeguards, such as:

      • Role-Based Access Control (RBAC);

      • Multi-Factor Authentication (MFA);

      • IP whitelisting and endpoint control;

    • Ensuring that all access credentials, API keys, and tokens issued to your users are kept secure and used only for their intended purposes.

    5.3. Credential Security and Misuse

    You are solely responsible for:

    • Maintaining the confidentiality of login credentials and system keys;

    • Preventing unauthorized access to your account or systems;

    • All actions taken through your account, whether authorized by you or not.

    Turing Tower is not liable for any loss or damage arising from your failure to secure your access credentials or monitor internal access.

    If you suspect any unauthorized access or a security breach involving your account, you must notify us immediately at kaizen@technologyandx.com. We may suspend or restrict access to mitigate risk.


    5.4. Credential-Aware Features

    If you enable credential-aware scanning or provide access credentials for integrations, you:

    • Represent and warrant that such credentials have been legally obtained and authorized;

    • Acknowledge that you retain full responsibility for any results, logs, or actions triggered using such credentials;

    • Accept that improper configuration or exposure of those credentials may impact your system security, for which Turing Tower shall bear no responsibility.

  6. DISCLAIMERS AND LIMITATION OF LIABILITY

    6.1. Platform Performance and Accuracy

    The Turing Tower Platform is provided on an “as is” and “as available” basis. While we make reasonable efforts to ensure the accuracy and reliability of our tools and outputs, you acknowledge and agree that:

    • Scan results may contain false positives or false negatives;

    • Threat detection and anomaly scoring rely on data quality, configuration parameters, and system conditions beyond our control;

    • Alerting thresholds and rule-based decisions are influenced by your settings, credentials, and infrastructure.

    You are solely responsible for reviewing results, verifying findings, and taking appropriate remediation steps. We do not guarantee that use of the Platform will detect all threats or prevent all breaches.

    6.2. Integration with Third-Party Systems

    Where you integrate the Platform with third-party services (e.g., SIEM, cloud environments, or identity providers), you do so at your own discretion and risk. Turing Tower is not responsible for:

    • The availability, performance, or security of third-party systems;

    • Any issues arising from misconfigurations, permission scopes, or data shared through such integrations.

    6.3. No Warranties

    To the fullest extent permitted by law, Turing Tower disclaims all warranties, express or implied, including:

    • Warranties of merchantability, fitness for a particular purpose, and non-infringement;

    • Any warranty that the Platform will be uninterrupted, error-free, or immune to external attacks or breaches.


    6.4. Limitation of Liability

    To the maximum extent permitted under applicable law, Turing Tower shall not be liable to you for:

    • Any indirect, incidental, special, exemplary, or consequential damages;

    • Loss of profits, revenue, data, or goodwill;

    • Business interruption or system downtime;

    • Security breaches, vulnerabilities, or misconfigurations not caused directly by our gross negligence.

    In no event shall Turing Tower’s aggregate liability for any claims under these Terms exceed the total fees paid by you for access to the Platform in the three (3) months preceding the event giving rise to the claim.

    6.5. Force Majeure

    We shall not be responsible for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to cyberattacks, infrastructure failure, acts of government, natural disasters, internet outages, or regulatory changes.

  7. SUPPORT, AVAILABILITY, AND SERVICE LEVELS 

    7.1. Support Availability

    Turing Tower provides support services to Users during standard business hours excluding public holidays.

    Support is available through the following channels:

    We will use commercially reasonable efforts to respond to support inquiries within one (1) business day, depending on the severity and complexity of the issue.

    7.2. Platform Availability

    We strive to maintain high availability of the Platform and underlying infrastructure. However, you acknowledge and agree that:

    • The Platform may be unavailable from time to time due to scheduled maintenance, upgrades, or unforeseen disruptions;

    • Emergency outages may occur without prior notice where required to preserve the security or integrity of the system;

    • We do not guarantee continuous, uninterrupted access to the Platform.

    Turing Tower will provide advance notice of planned maintenance via email or in-app notifications whenever feasible.

    7.3. Incident Response

    In the event of a system incident, service degradation, or performance issue, we will:

    • Investigate and respond promptly based on impact severity;

    • Provide status updates via designated communication channels;

    • Collaborate with you on any required rollback or mitigation measures where applicable.

    Turing Tower is not liable for any damages resulting from outages, response times, or third-party disruptions, except where caused by our willful misconduct or gross negligence.


    7.4. Service Level Agreements (SLAs)

    Unless otherwise stated in a separate Enterprise Service Agreement, Turing Tower does not offer binding uptime guarantees or financial service credits. For clients with custom SLA requirements, specific terms must be negotiated and agreed in writing.

  8.  INTELLECTUAL PROPERTY RIGHTS

    8.1. Ownership of the Platform

    All rights, title, and interest in and to the Platform, including but not limited to the underlying software, source code, scanning engines, algorithms, log detection frameworks, user interface designs, visual elements, technical documentation, trademarks, and brand assets are and shall remain the exclusive property of Turing Tower Inc. and its licensors.

    Nothing in these Terms shall be construed as transferring any ownership rights in the Platform or any associated intellectual property to you or any third party.

    8.2. Limited License

    Subject to your compliance with these Terms, Turing Tower grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for your internal cybersecurity and risk management purposes.

    You may not:

    • Modify, adapt, translate, or create derivative works of the Platform;

    • Reproduce, distribute, or publicly display any part of the Platform without prior written consent;

    • Use Turing Tower’s name, logo, or branding in any way that suggests endorsement or affiliation without authorization.

    8.3. User Feedback

    You may voluntarily provide feedback, suggestions, or improvement ideas regarding the Platform (“Feedback”). You agree that:

    • Such Feedback is provided without restriction;

    • Turing Tower shall have a royalty-free, perpetual, irrevocable license to use, modify, and incorporate Feedback into its products and services without obligation to you.


    8.4. Data Ownership

    As between you and Turing Tower, you retain all rights to the data you upload, scan, or monitor using the Platform (“Customer Data”).

    Turing Tower does not claim ownership over your infrastructure logs, configurations, or system metadata. However, you grant us a limited license to process, analyze, store, and use such data:

    • For the purpose of providing and improving our Services;

    • In accordance with our Privacy Policy;

    • Subject to applicable data protection laws and any contractual confidentiality obligations.

    We may also use aggregated or anonymized data for product analytics, benchmarking, and threat intelligence, provided such data cannot be used to identify you or your organization.

  9. DATA PROTECTION AND PRIVACY

    9.1. Compliance with Data Protection Laws

    Turing Tower processes Personal Data in accordance with applicable data protection laws, including but not limited to:

    • The Nigeria Data Protection Regulation (NDPR),

    • The European Union General Data Protection Regulation (GDPR),

    • The California Consumer Privacy Act (CCPA), where applicable,

    • And any other applicable data privacy frameworks depending on user geography.

    9.2. Role of Turing Tower

    Depending on the nature of the engagement, Turing Tower may act as:

    • A Data Controller where it determines the purpose and means of processing (e.g., user account information, usage metrics); or

    • A Data Processor where it processes data on behalf of enterprise clients (e.g., infrastructure logs, scan results, user activity metadata).

    9.3. Data Collected

    We collect and process only the data necessary to:

    • Operate and improve the Platform;

    • Deliver core services such as scanning, detection, alerting, and reporting;

    • Fulfill our contractual obligations and comply with legal requirements.

    For more information, refer to our Privacy Policy, which is incorporated by reference into these Terms.


    9.4. Security Measures

    We implement industry-standard technical and organizational measures to safeguard data, including:

    • AES-256 encryption for data at rest;

    • TLS 1.2+ for data in transit;

    • Role-Based Access Control (RBAC), IP whitelisting, and Multi-Factor Authentication (MFA);

    • Full audit logging and internal security protocols.

    Despite these efforts, no method of transmission or storage is 100% secure, and we cannot guarantee absolute protection.

    9.5. Data Deletion and Retention

    You may request the deletion or export of your data at any time by written notice. We will retain your data only for as long as:

    • Necessary to fulfill the purposes of collection;

    • Required by applicable law, contract, or regulatory guidance.

    9.6. Breach Notification

    In the event of a Personal Data breach, we will notify affected users and/or regulators as required under applicable law. We maintain a Data Breach Response Plan and audit trail protocols to support investigation and remediation efforts.


  10. TERMINATION AND SUSPENSION OF ACCESS

    10.1. Termination by User

    You may terminate your use of the Platform at any time by:

    • Ceasing all use of the Platform; and

    • Sending a written termination notice to kaizen@technologyandx.com. 

    Unless otherwise agreed in writing, no refunds shall be issued for any prepaid or unused subscription terms.

    10.2. Termination or Suspension by Turing Tower

    We may suspend or terminate your access to the Platform immediately, without prior notice, if:

    • You breach any provision of these Terms;

    • You engage in unlawful, fraudulent, abusive, or unauthorized use of the Platform;

    • Your use poses a security risk or operational disruption;

    • We are required to do so by law, regulation, or competent authority;

    • There is non-payment of applicable subscription or service fees.

    10.3. Effects of Termination

    Upon termination:

    • Your access rights to the Platform will be revoked;

    • All outstanding fees become immediately due and payable;

    • We may permanently delete your account and related data from our systems, unless legally required to retain it or upon your express written request for export within 30 days.

    Turing Tower is not obligated to retain any information or content related to your use of the Platform after termination, unless required by applicable law or explicitly agreed.


    10.4. Survival of Terms

    The following provisions will survive termination or expiration of these Terms:

    • Clauses related to intellectual property, confidentiality, limitation of liability, indemnity, data rights, and dispute resolution.


  11. INDEMNITY AND LIMITATION OF LIABILITY

    11.1. Indemnification

    You agree to indemnify, defend, and hold harmless Turing Tower, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

    • Your use or misuse of the Platform;

    • Your breach of these Terms or any applicable law or regulation;

    • Your violation of any third-party rights, including intellectual property or data protection rights;

    • Any unauthorized access, scanning, or activity conducted through your account or systems;

    • Any data or content you submit to or through the Platform.

    Turing Tower reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with our defense.

    11.2. Limitation of Liability

    To the fullest extent permitted by law, in no event shall Turing Tower, its affiliates, or licensors be liable for any:

    • Indirect, incidental, special, punitive, or consequential damages;

    • Loss of profits, revenue, business opportunities, data, or goodwill;

    • System downtime, business interruption, or reputational harm;

    • Security breach or vulnerability caused by your misconfiguration, third-party integration, or failure to act on findings.

    This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory (contract, tort, strict liability, etc.) on which the claim is based.

    11.3. Cap on Liability

    Except for liability arising from willful misconduct or fraud, Turing Tower’s total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total amount of fees paid by you to Turing Tower in the three (3) months preceding the event giving rise to the claim.


  1. AMENDMENTS AND UPDATES TO TERMS

    12.1. Right to Modify

    Turing Tower reserves the right to modify, update, or revise these Terms at any time to reflect changes in:

    • Legal or regulatory obligations;

    • Platform functionality or services;

    • Security practices or risk posture;

    • Business or operational requirements.

    12.2. Notification of Changes

    When material changes are made, we will:

    • Update the “Last Updated” date at the top of these Terms;

    • Provide notice via email or in-app notification (where applicable);

    • Optionally publish a summary of the key changes.

    You are responsible for reviewing the most current version of the Terms, which will always be available on our website.

    12.3. Continued Use as Acceptance

    Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Platform and, if applicable, close your account.


  2. DISCLAIMERS AND LIMITATION OF LIABILITY

    13.1. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of:

    • The State of Delaware, United States, for users contracting with Turing Tower Inc. in the U.S.; and

    • The Federal Republic of Nigeria, for users engaging with our operations or services within Nigeria.

    Where applicable, mandatory consumer protection or data protection laws in your jurisdiction may apply.

    13.2. Dispute Resolution

    We encourage all parties to resolve disputes amicably. If a dispute cannot be resolved through mutual negotiation within thirty (30) days, the parties agree as follows:

    • For Nigerian-based users: The dispute shall be referred to arbitration at the Lagos Multi-Door Courthouse (LMDC), in accordance with the Arbitration and Conciliation Act, Cap A10, Laws of the Federation of Nigeria. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement (or by LMDC if parties cannot agree). The decision shall be final and binding.

    • For all other users: Disputes shall be subject to binding arbitration in the State of Delaware under the rules of the American Arbitration Association (AAA), with one arbitrator appointed in accordance with the AAA Rules.

    Each party shall bear its own legal costs, except where otherwise awarded by the arbitrator.

    13.3. Assignment

    You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Turing Tower may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

    13.4. Severability

    If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remainder shall continue in full force and effect.

  3. DEFINITIONS

    • “Turing Tower”, “we”, “us”, or “our” means Turing Tower Inc., a Delaware-registered cybersecurity company, and its authorized affiliates, employees, contractors, and representatives.

      • Core Risk Engine,

      • APIs, admin dashboards, integrations, portals, and all related websites, mobile or desktop applications.

    • “Services” refers to the features, functionalities, tools, and support provided through the Platform, including scanning, threat detection, system logging, anomaly alerting, database monitoring, reporting, and analytics.

    • “Account” means a registered profile or access credential provided to the User to interact with the Platform under a paid subscription or free trial, including any associated access permissions or API keys.

    • “Data” means any information, log, alert, scan result, configuration, credential, metadata, or audit trail generated, processed, or provided by you through the Platform.

    • “Authorized Use” refers to the use of the Platform strictly for cybersecurity analysis, vulnerability detection, and monitoring on systems, networks, or databases that you own, control, or are explicitly permitted to manage.

    • “Third-Party Tools” means any third-party service, API, plugin, or system (e.g., cloud storage, SIEM platforms) that is integrated with the Platform either directly or via authorized configuration.

    • “Confidential Information” includes non-public technical, commercial, or operational information disclosed by one party to the other, whether orally or in writing, that is marked or reasonably understood to be confidential.

  4. SCOPE OF USE AND AUTHORIZED ACCESS

    4.1. Permitted Use

    You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform strictly in accordance with these Terms and any applicable license or subscription agreement. You agree to use the Platform solely for:

    • Cybersecurity scanning, threat detection, and log analysis on systems, infrastructure, or databases you own, control, or are expressly authorized to monitor;

    • Use the Platform to launch, simulate, or assist in any attack, including denial-of-service, brute-force, or data exfiltration activities;

    • Train or develop competing machine learning models or cybersecurity products based on Platform outputs or architecture;

    7.1. Support Availability

    Turing Tower provides support services to Users during standard business hours excluding public holidays.

    Support is available through the following channels:

    We will use commercially reasonable efforts to respond to support inquiries within one (1) business day, depending on the severity and complexity of the issue.

    7.2. Platform Availability

    We strive to maintain high availability of the Platform and underlying infrastructure. However, you acknowledge and agree that:

    • The Platform may be unavailable from time to time due to scheduled maintenance, upgrades, or unforeseen disruptions;

    • Emergency outages may occur without prior notice where required to preserve the security or integrity of the system;

    • We do not guarantee continuous, uninterrupted access to the Platform.

    Turing Tower will provide advance notice of planned maintenance via email or in-app notifications whenever feasible.

    7.3. Incident Response

    In the event of a system incident, service degradation, or performance issue, we will:

    • Investigate and respond promptly based on impact severity;

    • Provide status updates via designated communication channels;

    • Collaborate with you on any required rollback or mitigation measures where applicable.

    Turing Tower is not liable for any damages resulting from outages, response times, or third-party disruptions, except where caused by our willful misconduct or gross negligence.


    7.4. Service Level Agreements (SLAs)

    Unless otherwise stated in a separate Enterprise Service Agreement, Turing Tower does not offer binding uptime guarantees or financial service credits. For clients with custom SLA requirements, specific terms must be negotiated and agreed in writing.

  8.  INTELLECTUAL PROPERTY RIGHTS

    8.1. Ownership of the Platform

    All rights, title, and interest in and to the Platform, including but not limited to the underlying software, source code, scanning engines, algorithms, log detection frameworks, user interface designs, visual elements, technical documentation, trademarks, and brand assets are and shall remain the exclusive property of Turing Tower Inc. and its licensors.

    Nothing in these Terms shall be construed as transferring any ownership rights in the Platform or any associated intellectual property to you or any third party.

    8.2. Limited License

    Subject to your compliance with these Terms, Turing Tower grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for your internal cybersecurity and risk management purposes.

    You may not:

    • Modify, adapt, translate, or create derivative works of the Platform;

    • Reproduce, distribute, or publicly display any part of the Platform without prior written consent;

    • Use Turing Tower’s name, logo, or branding in any way that suggests endorsement or affiliation without authorization.

    8.3. User Feedback

    You may voluntarily provide feedback, suggestions, or improvement ideas regarding the Platform (“Feedback”). You agree that:

    • Such Feedback is provided without restriction;

    • Turing Tower shall have a royalty-free, perpetual, irrevocable license to use, modify, and incorporate Feedback into its products and services without obligation to you.


    8.4. Data Ownership

    As between you and Turing Tower, you retain all rights to the data you upload, scan, or monitor using the Platform (“Customer Data”).

    Turing Tower does not claim ownership over your infrastructure logs, configurations, or system metadata. However, you grant us a limited license to process, analyze, store, and use such data:

    • For the purpose of providing and improving our Services;

    • In accordance with our Privacy Policy;

    • Subject to applicable data protection laws and any contractual confidentiality obligations.

    We may also use aggregated or anonymized data for product analytics, benchmarking, and threat intelligence, provided such data cannot be used to identify you or your organization.

  9. DATA PROTECTION AND PRIVACY

    9.1. Compliance with Data Protection Laws

    Turing Tower processes Personal Data in accordance with applicable data protection laws, including but not limited to:

    • The Nigeria Data Protection Regulation (NDPR),

    • The European Union General Data Protection Regulation (GDPR),

    • The California Consumer Privacy Act (CCPA), where applicable,

    • And any other applicable data privacy frameworks depending on user geography.

    9.2. Role of Turing Tower

    Depending on the nature of the engagement, Turing Tower may act as:

    • A Data Controller where it determines the purpose and means of processing (e.g., user account information, usage metrics); or

    • A Data Processor where it processes data on behalf of enterprise clients (e.g., infrastructure logs, scan results, user activity metadata).

    9.3. Data Collected

    We collect and process only the data necessary to:

    • Operate and improve the Platform;

    • Deliver core services such as scanning, detection, alerting, and reporting;

    • Fulfill our contractual obligations and comply with legal requirements.

    For more information, refer to our Privacy Policy, which is incorporated by reference into these Terms.


    9.4. Security Measures

    We implement industry-standard technical and organizational measures to safeguard data, including:

    • AES-256 encryption for data at rest;

    • TLS 1.2+ for data in transit;

    • Role-Based Access Control (RBAC), IP whitelisting, and Multi-Factor Authentication (MFA);

    • Full audit logging and internal security protocols.

    Despite these efforts, no method of transmission or storage is 100% secure, and we cannot guarantee absolute protection.

    9.5. Data Deletion and Retention

    You may request the deletion or export of your data at any time by written notice. We will retain your data only for as long as:

    • Necessary to fulfill the purposes of collection;

    • Required by applicable law, contract, or regulatory guidance.

    9.6. Breach Notification

    In the event of a Personal Data breach, we will notify affected users and/or regulators as required under applicable law. We maintain a Data Breach Response Plan and audit trail protocols to support investigation and remediation efforts.


  10. TERMINATION AND SUSPENSION OF ACCESS

    10.1. Termination by User

    You may terminate your use of the Platform at any time by:

    • Ceasing all use of the Platform; and

    • Sending a written termination notice to kaizen@technologyandx.com. 

    Unless otherwise agreed in writing, no refunds shall be issued for any prepaid or unused subscription terms.

    10.2. Termination or Suspension by Turing Tower

    We may suspend or terminate your access to the Platform immediately, without prior notice, if:

    • You breach any provision of these Terms;

    • You engage in unlawful, fraudulent, abusive, or unauthorized use of the Platform;

    • Your use poses a security risk or operational disruption;

    • We are required to do so by law, regulation, or competent authority;

    • There is non-payment of applicable subscription or service fees.

    10.3. Effects of Termination

    Upon termination:

    • Your access rights to the Platform will be revoked;

    • All outstanding fees become immediately due and payable;

    • We may permanently delete your account and related data from our systems, unless legally required to retain it or upon your express written request for export within 30 days.

    Turing Tower is not obligated to retain any information or content related to your use of the Platform after termination, unless required by applicable law or explicitly agreed.


    10.4. Survival of Terms

    The following provisions will survive termination or expiration of these Terms:

    • Clauses related to intellectual property, confidentiality, limitation of liability, indemnity, data rights, and dispute resolution.


  11. INDEMNITY AND LIMITATION OF LIABILITY

    11.1. Indemnification

    You agree to indemnify, defend, and hold harmless Turing Tower, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

    • Your use or misuse of the Platform;

    • Your breach of these Terms or any applicable law or regulation;

    • Your violation of any third-party rights, including intellectual property or data protection rights;

    • Any unauthorized access, scanning, or activity conducted through your account or systems;

    • Any data or content you submit to or through the Platform.

    Turing Tower reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with our defense.

    11.2. Limitation of Liability

    To the fullest extent permitted by law, in no event shall Turing Tower, its affiliates, or licensors be liable for any:

    • Indirect, incidental, special, punitive, or consequential damages;

    • Loss of profits, revenue, business opportunities, data, or goodwill;

    • System downtime, business interruption, or reputational harm;

    • Security breach or vulnerability caused by your misconfiguration, third-party integration, or failure to act on findings.

    This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory (contract, tort, strict liability, etc.) on which the claim is based.

    11.3. Cap on Liability

    Except for liability arising from willful misconduct or fraud, Turing Tower’s total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total amount of fees paid by you to Turing Tower in the three (3) months preceding the event giving rise to the claim.


  1. AMENDMENTS AND UPDATES TO TERMS

    12.1. Right to Modify

    Turing Tower reserves the right to modify, update, or revise these Terms at any time to reflect changes in:

    • Legal or regulatory obligations;

    • Platform functionality or services;

    • Security practices or risk posture;

    • Business or operational requirements.

    12.2. Notification of Changes

    When material changes are made, we will:

    • Update the “Last Updated” date at the top of these Terms;

    • Provide notice via email or in-app notification (where applicable);

    • Optionally publish a summary of the key changes.

    You are responsible for reviewing the most current version of the Terms, which will always be available on our website.

    12.3. Continued Use as Acceptance

    Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Platform and, if applicable, close your account.


  2. DISCLAIMERS AND LIMITATION OF LIABILITY

    13.1. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of:

    • The State of Delaware, United States, for users contracting with Turing Tower Inc. in the U.S.; and

    • The Federal Republic of Nigeria, for users engaging with our operations or services within Nigeria.

    Where applicable, mandatory consumer protection or data protection laws in your jurisdiction may apply.

    13.2. Dispute Resolution

    We encourage all parties to resolve disputes amicably. If a dispute cannot be resolved through mutual negotiation within thirty (30) days, the parties agree as follows:

    • For Nigerian-based users: The dispute shall be referred to arbitration at the Lagos Multi-Door Courthouse (LMDC), in accordance with the Arbitration and Conciliation Act, Cap A10, Laws of the Federation of Nigeria. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement (or by LMDC if parties cannot agree). The decision shall be final and binding.

    • For all other users: Disputes shall be subject to binding arbitration in the State of Delaware under the rules of the American Arbitration Association (AAA), with one arbitrator appointed in accordance with the AAA Rules.

    Each party shall bear its own legal costs, except where otherwise awarded by the arbitrator.

    13.3. Assignment

    You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Turing Tower may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

    13.4. Severability

    If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remainder shall continue in full force and effect.

    13.5. No Waiver

    If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remainder shall continue in full force and effect.
